Freelancer Agreement

Effective Date: June 11, 2026

This Freelancer Agreement (“Agreement”) is entered into between:

Proweb Tutors (“Company,” “Proweb Tutors,” “we,” “our,” or “us”)

and

The Freelancer (“Contractor,” “Freelancer,” “you,” or “your”).

This Agreement governs the relationship between Proweb Tutors and the Freelancer for the provision of freelance and independent contractor services.

By registering, accepting projects, or performing work for Proweb Tutors, the Freelancer agrees to be bound by the terms of this Agreement.


1. Purpose of the Agreement

Proweb Tutors engages independent professionals to provide services including but not limited to:

  • Academic writing support
  • Research assistance
  • Scientific publication support
  • Blog writing
  • SEO content writing
  • Technical writing
  • Editing and proofreading
  • Data entry services
  • Virtual assistance
  • Graphic design
  • Web development
  • Mobile application development
  • Digital marketing
  • Software development
  • Other professional freelance services

The Freelancer agrees to perform assigned services professionally and in accordance with Company requirements.


2. Independent Contractor Relationship

The Freelancer acknowledges that:

  • They are an independent contractor.
  • They are not an employee of Proweb Tutors.
  • This Agreement does not create an employment relationship.
  • The Freelancer is not entitled to employee benefits.
  • The Freelancer is responsible for their own taxes, insurance, licenses, permits, and statutory obligations.

Nothing in this Agreement shall be interpreted as creating a partnership, agency, joint venture, or employer-employee relationship.


3. Eligibility Requirements

To work with Proweb Tutors, Freelancers must:

  • Be at least 18 years old.
  • Possess the skills required for assigned projects.
  • Provide accurate registration information.
  • Maintain professional communication standards.
  • Comply with applicable laws and regulations.

Proweb Tutors reserves the right to verify qualifications, education, certifications, and experience.


4. Scope of Services

Freelancers may be assigned projects including:

Writing Services

  • Academic content
  • Research reports
  • Scientific articles
  • Blog posts
  • Website content
  • Technical documentation

Editing Services

  • Proofreading
  • Copy editing
  • Academic editing
  • Formatting

Technical Services

  • Website development
  • Software development
  • Mobile application development
  • Database management

Administrative Services

  • Data entry
  • Virtual assistance
  • Research support
  • Administrative tasks

Assignments may vary depending on business needs.


5. Project Assignment

Proweb Tutors is under no obligation to provide a minimum number of projects.

Freelancers are under no obligation to accept any project offered.

Project allocation may depend on:

  • Performance ratings
  • Expertise
  • Availability
  • Quality history
  • Client requirements
  • Deadline capacity

6. Quality Standards

Freelancers must deliver work that is:

  • Accurate
  • Original
  • Professional
  • Well-researched
  • Error-free
  • Compliant with client instructions

All work must meet Company quality standards.

Repeated quality issues may result in project removal or account termination.


7. Originality and Plagiarism

Freelancers must submit entirely original work unless otherwise instructed.

The following are strictly prohibited:

  • Plagiarism
  • Content spinning
  • Unauthorized copying
  • Use of copyrighted materials without permission
  • AI-generated content presented as original work when prohibited by project requirements

Proweb Tutors may conduct plagiarism and originality checks.

Violations may result in immediate termination.


8. Deadlines and Timely Delivery

Freelancers agree to:

  • Meet assigned deadlines.
  • Communicate delays immediately.
  • Submit completed work on time.
  • Avoid accepting projects beyond their capacity.

Failure to meet deadlines may negatively affect performance evaluations.


9. Revisions

Freelancers may be required to perform reasonable revisions when:

  • Client instructions were not followed.
  • Errors exist in the submitted work.
  • Quality standards have not been met.

Revision requests must be completed within the specified timeframe.

Additional compensation may not be provided for standard revisions.


10. Confidentiality

Freelancers shall maintain strict confidentiality regarding:

  • Client information
  • Project details
  • Research materials
  • Company procedures
  • Business information
  • Login credentials
  • Pricing structures

Confidential information shall not be disclosed to third parties without written authorization.

This obligation survives termination of this Agreement.


11. Data Protection and Privacy

Freelancers agree to:

  • Protect client information.
  • Follow privacy laws.
  • Secure project files.
  • Avoid unauthorized sharing of data.
  • Use information solely for project completion.

Any data breach must be reported immediately.


12. Intellectual Property

All deliverables produced for clients become the property of Proweb Tutors or its clients upon payment and acceptance.

Freelancers agree to assign all applicable intellectual property rights related to completed projects.

Freelancers may not:

  • Resell completed work.
  • Reuse client materials.
  • Publish client projects without permission.
  • Claim ownership after transfer.

13. Non-Solicitation

During the term of this Agreement and for twelve (12) months after termination, Freelancers agree not to:

  • Directly solicit Company clients.
  • Circumvent Company relationships.
  • Accept direct work from Company clients without written approval.

Violation may result in legal action and financial damages.


14. Communication Requirements

Freelancers must:

  • Maintain professional conduct.
  • Respond promptly to project-related communications.
  • Provide accurate updates.
  • Use approved communication channels.

Abusive, offensive, discriminatory, or inappropriate behavior is prohibited.


15. Payment Terms

Freelancers will be compensated according to:

  • Agreed project rates
  • Milestone agreements
  • Hourly arrangements
  • Commission structures where applicable

Payments are generally made after:

  • Successful project completion
  • Quality approval
  • Client acceptance
  • Compliance verification

16. Payment Schedule

Payment schedules may include:

  • Weekly payments
  • Biweekly payments
  • Monthly payments
  • Milestone-based payments

Payment timelines may vary based on project type and client payment cycles.


17. Taxes

Freelancers are solely responsible for:

  • Income taxes
  • Social security contributions
  • Pension contributions
  • VAT obligations
  • Local tax compliance

Proweb Tutors does not withhold taxes unless required by law.


18. Equipment and Expenses

Freelancers are responsible for providing:

  • Computers
  • Software
  • Internet access
  • Workspace
  • Communication tools

Unless otherwise agreed, the Company will not reimburse ordinary business expenses.


19. Performance Evaluation

Freelancer performance may be evaluated based on:

  • Quality
  • Timeliness
  • Communication
  • Client feedback
  • Revision rates
  • Professional conduct

Poor performance may result in reduced project opportunities.


20. Suspension and Termination

Proweb Tutors may suspend or terminate Freelancer access for:

  • Poor quality work
  • Repeated missed deadlines
  • Confidentiality breaches
  • Fraud
  • Misrepresentation
  • Plagiarism
  • Unprofessional conduct
  • Violation of this Agreement

Termination may occur with or without notice.


21. Limitation of Liability

Proweb Tutors shall not be liable for:

  • Loss of income
  • Lost opportunities
  • Indirect damages
  • Consequential damages
  • Business interruption

Total liability shall not exceed amounts owed for completed approved work.


22. Indemnification

Freelancers agree to indemnify and hold harmless Proweb Tutors from claims arising from:

  • Breach of this Agreement
  • Intellectual property violations
  • Misconduct
  • Negligence
  • Legal violations

23. Dispute Resolution

Parties agree to first attempt resolution through:

  1. Informal negotiation
  2. Mediation
  3. Arbitration (where applicable)

before initiating litigation.


24. Governing Law

This Agreement shall be governed by applicable laws governing the operations of Proweb Tutors, without regard to conflict of law principles.


25. Amendments

Proweb Tutors reserves the right to update this Agreement periodically.

Continued use of Company platforms following updates constitutes acceptance of revised terms.


26. Entire Agreement

This Agreement constitutes the entire understanding between Proweb Tutors and the Freelancer and supersedes prior agreements relating to freelance services.

By registering as a Freelancer, accepting assignments, accessing Company systems, or providing services through Proweb Tutors, you acknowledge that you have read, understood, and agreed to the terms of this Freelancer Agreement.
